1. Overview
These Terms of Service govern paid services and digital products offered by You Need Branding (YNB, we, us) through youneedbranding.com. By purchasing a service or digital product, booking a paid session, accepting a proposal or scope of work, or authorizing work to begin, you agree to these terms and to any project-specific agreement that applies.
YNB provides strategic consulting, brand and positioning work, offer and monetization design, marketing and social media services, creative production, websites and digital platforms, CRM and automation, AI-agent implementation, AI video production, and digital products. Availability and delivery conditions vary by offer.
Submitting a project inquiry does not create a client relationship, require either party to proceed, or subscribe you to marketing emails. If a signed proposal, scope of work, or order page conflicts with these general terms, the project-specific document controls for that engagement.
2. Architecture Intensive
What it is
A 90-minute strategic session conducted via Google Meet, followed by a written Strategic Audit Report, including a phased priority roadmap, delivered within 48 hours of the session.
Payment
$497, paid in full at booking. The session is confirmed upon receipt of payment. No partial payments or payment plans are available for this service.
Cancellation and rescheduling
Cancellations made more than 48 hours before the session receive a full refund. Cancellations made within 48 hours are non-refundable, but the session may be rescheduled once within 30 days. No-shows without prior notice are non-refundable and cannot be rescheduled.
Deliverable
The Strategic Audit Report provides analysis and recommendations. It is not a guarantee of revenue, growth, implementation results, or any other business outcome. Results depend on decisions and actions outside YNB’s control.
Intellectual property
The Strategic Audit Report is produced for the client’s internal use. It may not be resold, redistributed, published, or presented as the client’s own commercial product without written permission from YNB.published without written permission from YNB.
3. Strategic, Creative, Marketing, and Infrastructure Services
Scope
Services may include positioning and brand strategy, audience and market definition, verbal and visual identity, messaging and copy, offer creation, pricing and monetization, marketing and launch strategy, content and social media planning or execution, promotional video and campaign assets, websites and landing pages, e-commerce, communities, memberships, course platforms, CRM, automation, integrations, reporting, and AI-agent or operational workflows. The exact scope is defined for each engagement.
Proposals and agreements
Project work begins only after the scope, responsibilities, deliverables, timing, and fees are agreed in writing and the required deposit or payment has been received.
Payment terms
Unless a proposal states otherwise, a deposit of at least 50 percent is required to begin. Remaining balances are due at the milestones or completion date stated in the proposal. Invoices are due within 7 days of issue. Overdue balances may accrue interest at 1.5 percent per month, where permitted by law.
Client responsibilities
The client must provide accurate information, lawful access to required accounts, usable assets, approvals, and feedback within the agreed time. The client is responsible for reviewing and approving factual claims, prices, legal statements, offers, campaign content, and final materials before publication or use.
Revisions and scope changes
The included revision rounds are defined in the proposal or order page. Requests outside the agreed direction, deliverables, or revision allowance are treated as a change of scope and may require a revised fee and timeline.
Delays
If required inputs, access, approvals, or feedback are not provided within 14 days of request, YNB may pause the project, move it in the production schedule, revise the delivery date, or apply a restart fee stated in the proposal.
Cancellation
If the client cancels after work begins, the deposit is non-refundable. Work completed beyond the value of payments already received will be invoiced and becomes due upon cancellation, except where applicable law requires otherwise.
Collaborators
YNB may use specialist collaborators or service providers when a project requires additional production capacity or technical expertise. YNB remains responsible for coordinating the agreed scope. Confidential information is shared only as reasonably necessary for delivery.
Third-party platforms and costs
Websites, CRM systems, social platforms, AI tools, software, plugins, hosting, stock assets, payment services, and other third-party products remain subject to their own terms, licences, pricing, availability, and technical limitations. Unless included expressly in the proposal, third-party fees are the client’s responsibility. YNB cannot guarantee that an external provider will keep a feature, price, policy, account, or service available.
Marketing and social media
YNB does not guarantee reach, engagement, leads, sales, platform approval, or campaign performance. Results depend on the offer, market, budget, timing, platform behaviour, client approvals, and implementation. The client remains responsible for the legality and accuracy of published claims and for compliance with the rules of the platforms and markets in which the content is used.
AI agents and automated systems
AI and automation projects may rely on third-party models, APIs, and platforms. AI output may be incomplete, inaccurate, or unsuitable for a particular use and must be reviewed by a responsible person before publication, communication, decision-making, or operational use. The client remains responsible for decisions made from AI output and for the data, permissions, and instructions supplied to the system.
Intellectual property
After full payment, the client receives the rights to final custom deliverables identified as transferable in the project agreement. YNB retains ownership of pre-existing frameworks, methods, templates, reusable code, systems, and know-how. Stock media, fonts, plugins, software, AI outputs, and other third-party materials remain subject to their applicable licences. YNB may display non-confidential completed work in its portfolio unless the client requests otherwise in writing. Client names, testimonials, confidential information, and performance results will not be published without permission.
4. AI Video Production
What it is
AI-produced video content created to the client’s brief and delivered digitally. Available packs, formats, duration, revisions, and delivery timing are defined on the AI Video page or order page.
Payment
Payment is made in full at checkout. Production begins after payment is confirmed and the production brief and required assets have been received and approved.
Production brief
The client must complete the production brief before production begins. YNB is not responsible for delays caused by incomplete, inaccurate, or late information or assets.
Revisions
Launch, Social, and Pro packs include one revision round. Pro Social includes two revision rounds. A revision covers minor caption, timing, tone, or visual adjustments within the approved direction. A new script, concept, direction, voice, avatar, or substantial regeneration is a new production scope and may require an additional fee.
Refunds
Refunds are not available after production has started, except where required by law. If a delivered file does not match the agreed pack after the included revisions, YNB will review the issue and determine an appropriate correction within the original scope.
Client assets and permissions
The client confirms that they own or have permission to use every script, image, photograph, recording, voice sample, logo, likeness, trademark, and other asset supplied. When another person’s image or voice is provided, the client confirms that the person has authorized its use for the agreed production. YNB may refuse material that appears unlawful, misleading, infringing, deceptive, or unauthorized.
Asset quality
Output quality depends on the brief and source material. Low-resolution images, poor recordings, incomplete brand assets, or unclear instructions can limit the final result.
Languages
Language delivery is limited to the number included in the selected pack. Additional languages, versions, or localization may require a separate fee and timeline.
Delivery and licences
Final files are delivered in the formats stated in the order. After full payment, the client may use the final custom deliverables for the intended business purposes. Stock media, music, AI voices, avatars, fonts, and other third-party components remain subject to the licences and restrictions of their providers.
AI disclosure
The client understands that this service uses AI-generated or AI-assisted voice, imagery, avatars, captions, editing, or other production elements. AI output may contain variations or limitations that differ from traditional human production. The client is responsible for any disclosure required by the platform, market, or context in which the video is published.purchase. The client accepts the nature ut.
5. Digital Products
What they are
Digital products may include the Brand Clarity Map and future self-guided workbooks, templates, documents, or resources. Each product page states what is included, the price, and the delivery method.
Payment and access
Payment is due in full at checkout. Access or download instructions are sent electronically after successful payment. The buyer is responsible for providing a correct email address and maintaining the device, software, and internet access required to use the product.
Licence
A digital product is licensed to one buyer for personal or internal business use. It may not be copied for others, shared publicly, resold, sublicensed, redistributed, uploaded to a shared library, or used to create a competing product without written permission from YNB.
Refunds and withdrawal rights
Because access is delivered digitally, purchases are normally non-refundable after access or download begins, except where required by law or where the product is defective or inaccessible and YNB cannot correct the issue. Where a statutory cooling-off right applies, YNB may request the buyer’s express consent to immediate digital delivery and acknowledgement that the right to withdraw may be lost once access or download begins. Nothing in these terms limits rights that cannot legally be waived.
Nature of the material
Digital products provide general strategic and educational material. They are not personalized consulting, legal advice, financial advice, tax advice, or a guarantee of a commercial result. If the buyer requires interpretation, strategy, creation, or implementation, that work must be scoped separately through Work With Us.
6. General Terms
Accuracy of information
The client or buyer is responsible for the accuracy and completeness of information supplied during inquiry, purchase, onboarding, briefing, implementation, or support.
Confidentiality
YNB treats non-public client business information as confidential and shares it only with team members, collaborators, or service providers who reasonably require it to deliver the agreed work, or where disclosure is required by law.
Results
YNB provides strategy, creation, production, and infrastructure. We do not guarantee revenue, growth, audience response, platform performance, or any other specific business result.
Governing law
These terms are governed by the laws of the State of Illinois, United States. Disputes are subject to the courts of Illinois, except where mandatory consumer law provides otherwise.
Changes
YNB may update these Terms of Service. The current version and revision date will be published at youneedbranding.com/terms-of-service/. Changes do not alter an existing signed project agreement unless both parties agree in writing or applicable law requires the change.
